Terms of Service
Effective Date: August 5, 2026
These Terms of Service ("Terms") are a legal agreement between you and Starr Road Ventures LLC, doing business as Oxto ("Oxto," "we," "our," or "us"). They govern your access to and use of the Oxto mobile application, website, reservation tools, event tools, partner and winery dashboards, communications, and related services (collectively, the "Services").
By creating an account, checking a box accepting these Terms, making or managing a reservation, purchasing a ticket or subscription, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and Alcohol-Related Services
You must be at least 21 years old to create or use an Oxto account. By using the Services, you represent that you are at least 21 and legally able to enter into this agreement.
Oxto does not sell, furnish, or serve alcoholic beverages. Wineries, tasting rooms, tour operators, event hosts, and other independent businesses available through the Services (each a "Host") are solely responsible for checking identification, complying with alcohol laws, refusing service, and operating safely. A reservation or ticket does not guarantee that a Host will serve alcohol. Do not drink and drive.
2. What Oxto Provides
Oxto helps people discover wineries and wine-country experiences, receive personalized recommendations, build itineraries, save and share collections, post reviews, communicate with Hosts, make reservation requests, book available times, and register for or purchase access to events.
Oxto also provides business tools that allow Hosts and their authorized personnel to publish listings, manage availability, communicate with guests, maintain guest and club-member records, receive payments through Stripe, view analytics, and purchase Oxto subscriptions.
Except where Oxto expressly states otherwise, Oxto is a technology platform and is not the provider of a Host's tasting, event, transportation, tour, hospitality, or other service. Hosts are independent businesses, not Oxto employees, agents, joint venturers, or partners.
3. Accounts and Account Security
- Provide accurate, current information and keep it updated.
- Protect your sign-in credentials and device access.
- Notify us promptly if you believe your account has been compromised.
- Do not create an account for another person without authority.
- Do not transfer or sell your account.
You are responsible for activity performed through your account unless prohibited by law. Winery and partner accounts may be accessed only by authorized personnel acting for that business.
4. Reservations and the Host Relationship
A reservation may be an instant booking or a request that requires Host approval. A request is not confirmed until the Services or the Host provides confirmation. Availability, capacity, hours, offerings, accessibility, add-ons, prices, and experience details can change.
When you make a reservation, you authorize Oxto to send the Host the information needed to provide and personalize the visit. This may include your name, email, phone number, city or region, party size, date and time, occasion, notes, selected add-ons, reservation history with that Host, and the taste-profile information described at booking. Notes may be viewed by Host personnel, so include only information that is necessary for the visit.
You agree to provide accurate guest information, arrive on time, follow the Host's rules, and promptly update or cancel a reservation you cannot use. The Host may contact you directly about the reservation and may refuse, modify, or cancel service for capacity, safety, legal-compliance, weather, operational, or conduct reasons.
5. Reservation Prices and Payments
Some reservations are free to request. Others may require a card authorization, deposit, full prepayment, event-ticket payment, or later payment to the Host. The amount, timing, and available add-ons will be shown before you authorize payment. Taxes and other permitted charges may be added where disclosed.
Reservation and event payments are processed by Stripe for the applicable Host. Unless a checkout screen expressly identifies Oxto as the seller, the Host is the merchant of record and is responsible for the underlying experience, taxes, receipts, and legally required refunds. Oxto may receive platform or service fees from Hosts.
You authorize the applicable charge, authorization hold, capture, refund, or cancellation of an authorization described during checkout. Your bank may take time to release a hold or post a refund. Oxto does not store your full payment-card number, but Oxto may receive and retain payment status, amounts, Stripe identifiers, card brand, and the last four digits of the card.
Prices displayed by Oxto are based on information supplied by Hosts and may be estimates until the final checkout screen. If a mandatory charge applies, it must be disclosed before payment. You are responsible for reviewing the total before submitting.
6. Cancellations, Refunds, No-Shows, and Changes
The cancellation and refund terms displayed during booking, in the reservation confirmation, or by the Host apply to your reservation. If the Services display a free-cancellation period, that displayed period controls unless a more favorable term is provided to you.
After an applicable free-cancellation period, amounts may be nonrefundable or subject to a Host cancellation or no-show charge where disclosed and permitted by law. If a Host declines a request, an uncaptured card authorization is normally released. If a confirmed reservation is canceled through an available Oxto cancellation flow, the Services may initiate a refund or release of the authorization. Processing time is controlled by Stripe and your financial institution.
Contact the Host and Oxto promptly if a refund appears incorrect. Nothing in these Terms limits any non-waivable refund or cancellation right provided by law.
7. Events and Tickets
Event registrations and ticket purchases may require attendee names, contact details, party size, answers to Host questions, approval, and payment. Event-specific terms, refund rules, age requirements, and entry conditions shown at checkout or supplied by the Host are part of your agreement for that event.
Hosts are responsible for event content, admission, safety, legal compliance, accessibility information, cancellations, and performance. Tickets and confirmation codes may not be resold, duplicated, or used fraudulently.
8. Business Subscriptions and Recurring Charges
Oxto may offer recurring monthly or annual subscriptions to wineries, operators, and other business users. Before purchase, Oxto or Stripe will display the price, billing interval, included services, any promotional period, and how to cancel. By subscribing, you authorize recurring charges until cancellation.
You may manage or cancel an eligible subscription through the available Stripe billing portal or another method Oxto provides. Cancellation takes effect at the end of the then-current paid period unless stated otherwise. Fees already paid are nonrefundable except where required by law or expressly stated. We will provide legally required renewal, price-change, and cancellation notices.
Oxto may also bill a per-reservation or other usage fee disclosed to a business user. Business users are responsible for keeping a valid payment method and billing contact on file.
9. Taste Profiles, Recommendations, and Artificial Intelligence
Oxto personalizes discovery and trip-planning results using information you provide and signals from your activity, such as saved and visited wineries, profile views, clicks, searches, itinerary actions, price preferences, regions, and stated wine or atmosphere preferences.
Some features use automated ranking, vector similarity, machine learning, and third-party artificial-intelligence services to interpret searches or write personalized explanations and winery content. Outputs may be incomplete, inaccurate, or unavailable. Recommendations are suggestions, not professional advice, guarantees, endorsements, or statements that a Host will meet every preference.
Oxto's personalization does not make decisions that produce legal or similarly significant effects. You remain responsible for evaluating a recommendation, confirming important details with the Host, and deciding whether an experience is appropriate for you. Do not place highly sensitive or confidential information in free-text search, itinerary, reservation, review, or support fields.
10. Communications and Marketing Choices
You agree that Oxto and service providers acting for Oxto may send transactional email, in-app messages, and push notifications about accounts, security, reservations, events, payments, subscriptions, and support. You may control optional push and marketing preferences through available settings, device controls, unsubscribe links, or by contacting us.
If you separately choose to receive Host updates, Oxto may provide the Host with that choice and your contact details so the Host can send news, events, or offers. A Host's marketing is governed by the Host's own practices. Withdrawing marketing consent does not stop necessary transactional communications.
11. User Content and Public Features
You may submit reviews, ratings, photos, videos, profile information, collections, comments, messages, and other material ("User Content"). You retain ownership of your User Content.
You grant Oxto a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, adapt for formatting, display, distribute, and otherwise use User Content to operate, improve, promote, and provide the Services. This license lasts for as long as the content remains on the Services and for reasonable backup, legal, and operational periods after removal.
You represent that you have the rights and permissions needed for your User Content and that it does not violate privacy, publicity, intellectual-property, confidentiality, or other rights. Public profiles, public collections, reviews, and shared links may be visible outside Oxto and indexed or copied by others. Do not post personal information about another person without permission.
We may moderate, refuse, remove, or restrict content, but we are not required to monitor every submission. To report infringement or unlawful content, contact legal@oxtoapp.com.
12. Rules for Hosts and Other Business Users
A business user represents that it is authorized to act for the business and agrees to:
- Maintain accurate listings, prices, fees, availability, policies, licensing, contact details, and safety information.
- Honor confirmed reservations, tickets, displayed cancellation terms, and applicable consumer-protection obligations.
- Comply with alcohol, accessibility, employment, tax, privacy, marketing, anti-discrimination, transportation, and payment laws that apply to its services.
- Use guest and analytics data only for legitimate business purposes connected to the Services and protect it from unauthorized access.
- Upload or enter guest, team-member, notification-recipient, and wine-club roster data only when authorized and after providing any legally required notice or obtaining any required consent.
- Not use Oxto data to build unrelated marketing lists, sell personal information, discriminate unlawfully, or contact guests in a way they did not request or authorize.
Business users are responsible for their personnel, Stripe connected accounts, fulfillment, customer service, disputes, refunds, chargebacks, taxes, and legally required records. Oxto may suspend a listing, payout-related feature, reservation capability, or business account when needed to protect users, Oxto, or the integrity of the Services.
13. Acceptable Use
You may not:
- Use the Services for fraud, unlawful activity, harassment, threats, discrimination, or unsafe conduct.
- Misrepresent identity, age, affiliation, reservation details, reviews, or payment information.
- Scrape, harvest, reverse engineer, probe, overload, interfere with, or bypass access controls for the Services, except where law expressly permits.
- Upload malware or content that is illegal, infringing, deceptive, defamatory, obscene, or invasive of another person's rights.
- Manipulate ratings, reservations, referrals, analytics, availability, or payments.
- Use automated means to access the Services without Oxto's written permission.
- Use information obtained through the Services to identify, profile, or target a person for an unrelated or unlawful purpose.
14. Third-Party Services and Links
The Services rely on and may link to third parties, including Hosts, Stripe, Supabase, Mapbox, Google, Apple, OpenAI, Anthropic, Resend, Expo, Vercel, and other websites or applications. Their services and privacy practices are governed by their own terms. Oxto is not responsible for a third party's content, availability, security, or conduct, except to the extent required by law.
15. Oxto Intellectual Property
The Services, including Oxto's software, designs, selection and arrangement of content, trademarks, logos, and original editorial material, are owned by Oxto or its licensors and protected by law. Subject to these Terms, Oxto grants you a limited, personal, revocable, nonexclusive, nontransferable license to use the Services for their intended purpose.
No license permits you to copy, resell, create a competing database from, or commercially exploit the Services except through an Oxto feature or written agreement.
16. Privacy
Our Privacy Policy explains how Oxto collects, uses, discloses, and retains personal information, including how taste-profile information and reservation details are used and shared.
17. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Oxto disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, quiet enjoyment, and any warranty arising from course of dealing or usage of trade.
Oxto does not warrant that the Services, recommendations, listings, prices, availability, reservation confirmations, directions, reviews, AI-generated content, or Host information will always be accurate, complete, current, secure, uninterrupted, or error-free. Information about alcohol, allergies, accessibility, transportation, operating hours, and safety should be confirmed directly with the Host.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
18. Limitation of Liability
To the maximum extent permitted by law, Oxto and its affiliates, officers, directors, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost data, loss of goodwill, personal decisions made from recommendations, or the acts or omissions of Hosts or other users.
To the maximum extent permitted by law, Oxto's total liability for all claims arising from or relating to the Services will not exceed the greater of (a) the amount you paid directly to Oxto for the Services giving rise to the claim during the 12 months before the event giving rise to liability, or (b) 100 U.S. dollars.
These limitations do not apply to liability that cannot lawfully be excluded or limited, including any non-waivable consumer right.
19. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Oxto and its affiliates, officers, directors, employees, and agents from claims, damages, losses, liabilities, and reasonable legal fees arising from your User Content, misuse of the Services, violation of these Terms, violation of law, or infringement of another person's rights.
Business users also agree to indemnify Oxto for claims arising from their listings, personnel, guest or club-member data, marketing, Host services, alcohol service, taxes, payments, refunds, cancellations, chargebacks, or failure to comply with applicable law. This section does not require a consumer to indemnify Oxto where prohibited by law.
20. Suspension, Termination, and Account Deletion
You may stop using the Services at any time and may use the in-app account-deletion feature where available. Oxto may suspend, restrict, or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, failed to pay amounts due, or used the Services in a harmful or fraudulent way.
Provisions that by their nature should survive termination will survive, including payment obligations, licenses needed for retained content, disclaimers, liability limits, indemnification, and dispute terms.
21. Changes to the Services or These Terms
We may change the Services and update these Terms. If a change is material, we will provide notice as required by law, such as by email, in-app notice, or a prominent website notice. Changes apply prospectively from the stated effective date. Your continued use after that date means you accept the updated Terms, except where the law requires a different form of consent.
22. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute that is not resolved informally will be brought in a state or federal court with lawful jurisdiction in California, unless applicable consumer law gives you the right to bring a claim elsewhere.
Before filing a formal claim, you and Oxto agree to make a good-faith effort to resolve the dispute by sending a written description of the issue and requested resolution to legal@oxtoapp.com and allowing 30 days for a response. This informal process does not prevent either party from seeking urgent injunctive relief or filing within a limitations period.
23. General Terms
If a provision of these Terms is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain in effect. Oxto's failure to enforce a provision is not a waiver. You may not assign these Terms without Oxto's written consent. Oxto may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Services.
These Terms, the Privacy Policy, and any additional terms shown for a specific product, reservation, event, or subscription are the entire agreement between you and Oxto concerning the Services. If additional product terms conflict with these Terms, the additional terms control for that product.
